Purpose of Role

The law clerk is part of the Corporate Commercial legal team who performs a variety of legal tasks as well as assisting in complex matters to contribute to the overall excellent level of service provided to our clients in the Corporate Commercial Group.

Key Responsibilities

The key responsibilities of this role are:

  • Draft articles of incorporation, amendment, amalgamation, dissolution, continuance, arrangement, etc.
  • Draft Special Act incorporations/amendments
  • Draft and interpret complex share conditions
  • Draft meeting agenda, applicable resolutions and minutes for AGM
  • Conduct corporate due diligence and report
  • Analyze corporate charter documents, corporate records to ensure compliance with governing statute and make recommendations on relevancy and remedial actions
  • Draft supporting documents for M&A, Finance and Restructuring transactions
  • Draft corporate and tax reorganization documents (ITA ss 51, 85, 86, 97)
  • Register and maintain extra-provincial registrations and Statistics Canada – Schedule 1 Questionnaires
  • Research and interpret legal and technical procedures, statutes, and regulations applicable to area of practice
  • Work on multiple transactions and matters simultaneously
  • Liaise with clients for examination and review of corporate records
  • Liaise with public officials for settlement of applications for incorporation, amalgamation, etc.
  • Advise lawyers and students-at-law on interpretation of provisions of statutes and policies including reviewing and summarizing applicable regulations and requirements.
  • Achieve billable and investment hours targets
  • Assist with fee quotes for large projects
  • Advise and instruct students, lawyers and law clerks in preparation of corporate documents
  • Act as liaison between lawyer and client
  • Contribute to or support writing of corporate precedents under supervision of lawyer

Key Competencies Required

  • 10+ years of complex corporate law clerk experience
  • Advanced knowledge of corporate transaction work
  • Advanced knowledge of corporate statutes, regulations, policies
  • Advanced written and verbal communication skills
  • Knowledge of Municipal Utility companies preferred
  • Knowledge of Non-Share Capital and Charity companies and new legislation preferred
  • Exceptional attention to detail
  • Exceptional legal writing skills and communication skills
  • Proficient with Word, Document Management System, Corporate Database, Excel, Visio, PowerPoint
  • University degree preferred
  • Community College Law Clerk Diploma or Institute of Law Clerks of Ontario Certificate (or equivalent)
  • Eligible for membership as an Associate Member of the Institute of Law Clerks of Ontario
